OVERVIEW
Welcome to SabotTX. SabotTX is the trade name of SabotTX LLC. The terms “SabotTX,” “we,” “us,” and “our” refer to SabotTX LLC, doing business as SabotTX.
SabotTX operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you, the customer, with a curated shopping and fabrication experience (the “Services”).
SabotTX is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service, together with any policies referenced herein (collectively, the “Terms”), describe your rights and responsibilities when you access or use the Services.
Please read these Terms carefully. They include important information about your legal rights, product purchases, warranty disclaimers, and limitations of liability.
By visiting, interacting with, purchasing from, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.
SECTION 1 — ACCESS AND ACCOUNT
By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence, or that you are the age of majority and have consented to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.
To use the Services, including browsing our online store or purchasing products or services, you may be asked to provide information such as your name, email address, billing information, payment information, and shipping information.
You represent and warrant that all information you provide is accurate, current, and complete and that you have all rights necessary to provide that information.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.
SECTION 2 — OUR PRODUCTS
We make reasonable efforts to accurately represent our products and services in our online store. However, colors and product appearance may vary from what is displayed on your device because of screen type, calibration, lighting, photography, manufacturing materials, production batches, and other factors.
Product photographs, digital renders, illustrations, prototypes, and other visual representations are intended to represent products as accurately as reasonably possible but might not reproduce every physical characteristic of the finished product.
Many SabotTX products are produced using additive manufacturing processes, including fused deposition modeling (FDM). Minor variations in color, texture, layer appearance, surface finish, seam placement, support-contact areas, and dimensions are inherent characteristics of these manufacturing processes and do not necessarily constitute product defects.
Unless a product page expressly states a particular dimensional tolerance, stated dimensions should be considered nominal. Minor dimensional variation may occur because of material properties, part geometry, manufacturing processes, post-processing, environmental conditions, and other production variables.
Where a product page expressly states a specification, tolerance, material, or performance requirement, that product-specific information controls.
Products should be used only for their intended purpose. Unless a product description expressly states otherwise, SabotTX products are not represented or certified for medical, life-safety, food-contact, structural, aerospace, automotive, or other regulated or safety-critical applications.
All product descriptions, specifications, availability, materials, colors, options, and designs may be changed when reasonably necessary. We reserve the right to discontinue a product or limit quantities offered to any person, geographic region, or jurisdiction.
Nothing in this section limits rights that cannot lawfully be excluded, including applicable rights relating to products that are defective, damaged, incorrectly manufactured, or otherwise nonconforming.
SECTION 3 — ORDERS
When you place an order, you are making an offer to purchase.
SabotTX reserves the right to accept or decline an order when permitted by law, including because of product availability, suspected fraud, pricing or listing errors, inability to complete a custom request, legal or intellectual-property concerns, or other legitimate business reasons.
Your order is not accepted until SabotTX confirms acceptance and any required payment has been successfully processed.
Please review your order carefully before submitting it.
For custom, personalized, made-to-order, or fabrication work, production may begin after the order or project is accepted. Changes or cancellations requested after design work, material preparation, or production has begun might not be possible and may result in additional costs or revised production schedules.
If we decline, modify, or cancel an order, we will attempt to notify you using the email address, billing information, shipping information, or telephone number provided with the order.
Purchases and returns are subject to our Return and Refund Policy.
Unless otherwise restricted on a particular product or agreed in writing, products may be purchased for personal or legitimate commercial use.
You may not purchase or use our products or Services for an unlawful purpose, in violation of third-party rights, or in violation of these Terms.
SECTION 4 — PRICES AND BILLING
Prices, discounts, and promotions may change without notice.
The price charged for a product or service will generally be the price shown when the order is placed and will be reflected in the applicable checkout or order confirmation.
Unless expressly stated otherwise, displayed product prices might not include applicable taxes, shipping charges, customs duties, import charges, or other charges that are calculated separately.
We may offer promotions that are governed by separate terms. If promotional terms conflict with these Terms with respect to that promotion, the promotional terms will control.
You agree to provide current, complete, and accurate purchase, payment, and account information.
You agree to promptly update relevant account and payment information so that we can complete transactions and contact you when necessary.
You represent and warrant that you are authorized to use the payment method provided and that the information you provide for payment is accurate.
You agree to pay all authorized charges associated with your order, including applicable product prices, shipping and handling charges, taxes, and other disclosed charges.
SECTION 5 — SHIPPING AND DELIVERY
Processing, production, shipping, and delivery times provided by SabotTX are estimates unless expressly stated otherwise.
Custom, personalized, made-to-order, and additively manufactured products may require production time before shipment.
We are not responsible for delays caused by shipping carriers, severe weather, natural disasters, customs processing, governmental action, transportation disruptions, incorrect customer-provided addresses, or other events outside our reasonable control.
You are responsible for providing a complete and accurate delivery address. Additional shipping costs resulting from an incorrect or incomplete customer-provided address may be the customer’s responsibility when permitted by law.
If your shipment appears lost, damaged, or incorrectly delivered, contact SabotTX promptly so that we can investigate the shipment and determine the appropriate resolution.
If a product arrives damaged, defective, or incorrect, please retain the product, packaging, and shipping materials and provide photographs when reasonably requested. These materials may be needed to evaluate the issue or pursue a carrier claim.
Any allocation of title or risk of loss will be determined in accordance with applicable law.
Shipping, damaged-product claims, returns, replacements, and refunds are also subject to our Shipping Policy and Return and Refund Policy.
SECTION 6 — INTELLECTUAL PROPERTY
The Services, including trademarks, branding, text, images, graphics, product photography, video, audio, website design, and other original content, are owned by SabotTX, its licensors, or other applicable rights holders and are protected by applicable intellectual-property laws.
These Terms permit you to use the Services for lawful personal or business purchasing purposes.
Except where expressly permitted, you may not reproduce, distribute, modify, publicly display, publicly perform, republish, download, store, sell, license, or transmit protected material from the Services without authorization from the applicable rights holder.
Nothing in these Terms grants you ownership of or a license to SabotTX trademarks, copyrights, designs, trade dress, or other intellectual property except as expressly provided.
SabotTX names, logos, product names, service names, designs, and slogans may constitute trademarks or other protected intellectual property and may not be used without authorization.
Shopify names, logos, product names, service names, designs, and slogans are trademarks or intellectual property of Shopify or its applicable affiliates.
Third-party models, designs, trademarks, characters, images, and other intellectual property remain the property of their respective rights holders.
SECTION 7 — CUSTOMER-SUPPLIED FILES, DESIGNS, AND INTELLECTUAL PROPERTY
When you provide SabotTX with a digital model, STL file, 3MF file, CAD file, drawing, photograph, image, logo, trademark, text, design, specification, measurement, reference material, or other content for fabrication, customization, quoting, or evaluation (“Customer Materials”), you represent and warrant that you own the Customer Materials or have all permissions, licenses, and rights necessary for SabotTX to use them for the requested work.
You grant SabotTX a limited, non-exclusive license to access, reproduce, process, convert, repair, scale, orient, modify as technically necessary, and manufacture from Customer Materials solely as reasonably necessary to evaluate, quote, prepare, manufacture, fulfill, deliver, or support your requested order or project.
Providing Customer Materials to SabotTX does not transfer ownership of those materials to SabotTX.
You are responsible for ensuring that Customer Materials and requested products do not infringe copyrights, trademarks, patents, publicity rights, privacy rights, contractual rights, or other rights of third parties and do not violate applicable law.
SabotTX may request evidence that you have the necessary rights or permissions to use Customer Materials.
SabotTX reserves the right to refuse or cancel a fabrication or customization request that we reasonably believe violates applicable law, infringes or may infringe third-party rights, involves prohibited or regulated items that we are not authorized or willing to manufacture, or otherwise conflicts with our policies.
You are responsible for verifying customer-supplied dimensions, measurements, specifications, fit requirements, clearances, compatibility requirements, and other technical information unless SabotTX has expressly agreed in writing to provide the applicable design, engineering, or verification service.
SECTION 8 — OPTIONAL TOOLS
You may be provided access to tools or functionality offered by third parties as part of the Services.
We might not monitor or control these third-party tools.
Unless expressly stated otherwise, access to optional third-party tools is provided “as is” and “as available,” without endorsement or warranties from SabotTX to the fullest extent permitted by law.
Your use of optional third-party tools is at your own risk and discretion. You should review and understand the terms and policies governing those tools.
We may offer additional features, resources, or tools in the future. Unless otherwise stated, such features will be considered part of the Services and subject to these Terms.
SECTION 9 — THIRD-PARTY LINKS
The Services may contain materials, functionality, or hyperlinks associated with websites or services operated by third parties.
We are not responsible for examining or evaluating all third-party content, accuracy, products, services, practices, or policies.
If you access third-party materials or websites, you do so subject to the terms and policies applicable to those third parties.
We are not responsible for harm or damages resulting from third-party products, services, websites, resources, or content except where liability cannot lawfully be excluded.
Questions, complaints, claims, or concerns regarding third-party products or services should generally be directed to the applicable third party.
SECTION 10 — RELATIONSHIP WITH SHOPIFY
SabotTX is powered by Shopify, which enables us to provide the Services to you.
However, sales and purchases made through our store are made directly with SabotTX.
By using the Services, you acknowledge that Shopify is not the seller of SabotTX products and is not responsible for the performance of SabotTX’s obligations relating to products or services purchased from SabotTX.
To the fullest extent permitted by law, Shopify and its affiliates are released from claims, damages, and liabilities arising solely from purchases and transactions between you and SabotTX.
SECTION 11 — PRIVACY POLICY
Personal information collected through the Services is handled in accordance with our Privacy Policy, which is available through our store and checkout.
Certain personal information may also be processed by Shopify in accordance with Shopify’s applicable privacy policies.
Because the Services are hosted by Shopify, Shopify processes certain information concerning access to and use of the Services in order to provide and improve Shopify-powered services.
Information submitted through the Services may be transmitted to Shopify and other service providers that assist in operating our store, processing transactions, fulfilling orders, delivering communications, preventing fraud, or performing other legitimate business functions.
Please review our Privacy Policy for additional information regarding how personal information is collected, used, disclosed, retained, and protected.
SECTION 12 — FEEDBACK
If you voluntarily submit reviews, ideas, suggestions, feedback, proposals, photographs, or other content regarding SabotTX products or Services (“Feedback”), you grant SabotTX a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and adapt that Feedback for legitimate business purposes, including operating, improving, and promoting the Services, subject to applicable law.
You represent and warrant that you own or have the rights necessary to submit the Feedback and that the Feedback does not violate another person’s intellectual-property, privacy, publicity, contractual, or other rights.
You are responsible for the accuracy and legality of Feedback you submit.
We may moderate or remove Feedback that we reasonably determine is unlawful, fraudulent, abusive, defamatory, obscene, misleading, infringing, malicious, or otherwise violates these Terms.
You may not submit malicious code, impersonate another person, use a false identity to mislead others, or misrepresent the origin of Feedback.
SECTION 13 — ERRORS, INACCURACIES, AND OMISSIONS
Information presented through the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, pricing, promotions, availability, production times, shipping charges, or transit estimates.
We reserve the right to correct errors, inaccuracies, or omissions and to update information when appropriate.
If an error materially affects an order that you have already submitted, we may contact you to obtain approval of the correction or, where appropriate and permitted by law, cancel and refund the affected order.
SECTION 14 — PROHIBITED USES
You may access and use the Services only for lawful purposes.
You may not use the Services directly or indirectly:
(a) for an unlawful, fraudulent, or malicious purpose;
(b) to violate applicable international, federal, state, provincial, territorial, or local laws, rules, or regulations;
(c) to infringe or violate intellectual-property rights or other rights belonging to SabotTX or another person;
(d) to harass, abuse, threaten, defame, intimidate, or unlawfully harm another person;
(e) to knowingly transmit false or materially misleading information;
(f) to upload, transmit, or distribute material that violates these Terms;
(g) to transmit unauthorized advertising, spam, phishing messages, chain letters, or similar solicitations;
(h) to impersonate another individual or organization;
(i) to introduce malicious code, viruses, malware, or harmful technology;
(j) to improperly collect or track personal information belonging to others;
(k) to interfere with, bypass, defeat, or circumvent security, authorization, access-control, anti-fraud, or technical protection measures;
(l) to reproduce, scrape, extract, copy, sell, resell, or exploit substantial portions of the Services except as lawfully authorized; or
(m) to engage in conduct that materially interferes with another person's use of the Services or exposes SabotTX, Shopify, our customers, or other persons to unlawful harm or liability.
We reserve the right to restrict or terminate access to the Services when we reasonably determine that these Terms have been violated.
SECTION 15 — AGENTS AND AUTOMATED ACCESS
This section applies when software or a service acting autonomously or semi-autonomously on behalf of a person or organization (“Agent”) accesses, uses, or interacts with the Services.
Agents must comply with applicable laws, these Terms, and technical measures used to identify, regulate, limit, or prohibit automated access.
An Agent must not intentionally conceal its automated nature, impersonate a human for the purpose of defeating technical protections, circumvent CAPTCHAs or other access-control measures, or bypass measures intended to restrict automated access.
We may use technical measures to limit or control whether and how Agents access, uses, or interacts with the Services.
We may prohibit a particular Agent from accessing the Services, and an Agent must comply with such restrictions.
SECTION 16 — TERMINATION
We may suspend or terminate access to the Services when permitted by law, including when we reasonably believe these Terms have been violated, fraudulent activity has occurred, security is threatened, or continued access could expose SabotTX or others to legal or operational harm.
Termination does not eliminate amounts properly owed for products or services already ordered or provided.
Provisions that by their nature should survive termination will continue to apply, including provisions relating to intellectual property, Customer Materials, Feedback, disclaimers, limitations of liability, indemnification, severability, governing law, and other accrued rights or obligations.
SECTION 17 — DISCLAIMER OF WARRANTIES
Information made available through the Services is provided for general informational purposes unless expressly incorporated into a specific product description, quotation, order, or agreement.
We make reasonable efforts to provide accurate information but do not warrant that all general website information will always be complete, current, or error-free.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR WARRANTIES OR REPRESENTATIONS EXPRESSLY PROVIDED BY SABOTTX, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES THAT MAY OTHERWISE ARISE BY IMPLICATION, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.
WE DO NOT WARRANT THAT ACCESS TO THE SERVICES WILL ALWAYS BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
PRODUCT-SPECIFIC WARRANTIES, SPECIFICATIONS, OR GUARANTEES EXPRESSLY PROVIDED ON A PRODUCT PAGE, QUOTATION, ORDER, OR WRITTEN AGREEMENT WILL CONTROL WITH RESPECT TO THAT PRODUCT OR SERVICE.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS A WARRANTY, REMEDY, OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
SECTION 18 — LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SABOTTX AND ITS OWNERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST DATA, OR SIMILAR DAMAGES, ARISING FROM OR RELATING TO THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, EXCEPT WHERE SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED.
THE FOREGOING LIMITATIONS APPLY REGARDLESS OF WHETHER A CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANOTHER LEGAL THEORY, TO THE EXTENT PERMITTED BY LAW.
SHOPIFY AND ITS AFFILIATES WILL NOT BE LIABLE FOR SABOTTX’S PERFORMANCE OF ITS SALES, PRODUCT, FABRICATION, SHIPPING, RETURN, OR CUSTOMER-SERVICE OBLIGATIONS EXCEPT TO THE EXTENT LIABILITY IS IMPOSED DIRECTLY ON SHOPIFY BY APPLICABLE LAW.
NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
SECTION 19 — INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless SabotTX and its owners, employees, agents, contractors, licensors, and service providers from third-party claims, liabilities, damages, losses, and reasonable costs arising from:
(1) your material breach of these Terms;
(2) your unlawful use of the Services;
(3) your violation of applicable law or the rights of another person; or
(4) Customer Materials or fabrication instructions supplied by you that infringe or violate third-party rights.
This obligation does not apply to the extent a claim results from SabotTX’s own unlawful conduct, negligence, or breach of an obligation that cannot lawfully be disclaimed.
We will provide reasonable notice of an indemnifiable claim when practicable. You agree to reasonably cooperate in the defense of such a claim.
SECTION 20 — SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary.
The remaining provisions will continue in full force and effect.
SECTION 21 — WAIVER; ENTIRE AGREEMENT
Our failure to exercise or enforce a right or provision under these Terms does not constitute a waiver of that right or provision.
These Terms, together with our policies, applicable product descriptions, quotations, and other terms expressly incorporated into an order, constitute the agreement governing use of the Services and applicable purchases.
If a separately signed written agreement between you and SabotTX expressly conflicts with these Terms concerning a particular project or transaction, the signed written agreement will control for that conflict.
SECTION 22 — ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without our prior written consent except where applicable law provides otherwise.
SabotTX may assign or transfer its rights and obligations in connection with a sale, transfer, reorganization, succession, or other legitimate business transaction, subject to applicable law.
SECTION 23 — GOVERNING LAW
These Terms and transactions with SabotTX are governed by the laws of the State of Texas and applicable federal law, without regard to conflict-of-law principles, except to the extent that mandatory laws of another jurisdiction apply and cannot lawfully be waived.
Subject to any mandatory jurisdiction or venue rights provided by applicable law, disputes arising from these Terms or the Services will be brought before a court of competent jurisdiction having proper jurisdiction and venue in Texas.
Nothing in this section deprives a consumer of rights or remedies that cannot lawfully be waived.
SECTION 24 — HEADINGS
Headings are provided for convenience only and do not limit or otherwise affect the interpretation of these Terms.
SECTION 25 — CHANGES TO THESE TERMS
You may review the current version of these Terms through our store.
We reserve the right to update, modify, or replace portions of these Terms by posting revised Terms through the Services.
Where required by applicable law, we will provide notice of material changes.
Unless applicable law requires otherwise, revised Terms will apply from the effective date stated or, if no date is stated, when published.
Changes will not retroactively alter rights or obligations relating to completed transactions except where required or permitted by law.
